The services we provide
We design, build and maintain websites and related digital products. The exact scope, deliverables, timeline and price of any project are agreed separately in a written proposal, quote or statement of work, which forms part of the agreement between us. Where those documents conflict with these Terms, the project document prevails.
Your responsibilities
- Provide the content, assets, access and feedback we need to do the work, in a timely way.
- Ensure you own or are licensed to use any material you give us, such as text, logos and photos.
- Use the site and any deliverables lawfully and as intended.
Fees and payment
Fees, currency and the payment schedule are set out in your project document. Unless agreed otherwise, invoices are due within [number] days of issue, and work may be paused on overdue accounts. Deposits and milestone payments are non-refundable to the extent work has already been performed. Prices exclude any taxes, which are added where required by law.
Intellectual property
You retain ownership of the content and brand materials you provide. On full payment, ownership of the final deliverables we create for you transfers to you, except for third-party components, open-source libraries and any tools or know-how we reuse across projects, which remain licensed rather than sold. We may reference the completed work in our portfolio unless you ask us in writing not to.
Third-party services
Projects often rely on third-party platforms — hosting, booking engines, payment processors, analytics and similar. Your use of those services is subject to their own terms, and we are not responsible for their availability, performance or policies.
Warranties and disclaimers
We provide our services with reasonable skill and care. Beyond that, and to the fullest extent permitted by law, the website and services are provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose and uninterrupted or error-free operation.
Limitation of liability
To the fullest extent permitted by law, Ludus Studio will not be liable for any indirect, incidental, special or consequential losses, including lost profits, revenue, data or bookings. Our total aggregate liability arising from or related to a project will not exceed the total fees you paid us for that project. Nothing in these Terms limits liability that cannot lawfully be limited.
Termination
Either party may end a project as described in the project document or on reasonable written notice. On termination you agree to pay for all work performed up to that date. Sections intended to survive termination — including intellectual property, liability and governing law — continue to apply.
Governing law
